These Terms of Use ("Terms") form a legally binding agreement between you ("you" or "User") and Mobile Aspects, Inc. ("Mobile Aspects," "we," "our," or "us") and govern your access to and use of the website located at https://www.mobileaspects.com and any subdomains, pages, and online services we make available through it (collectively, the "Site").
By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not access or use the Site.
1. ABOUT MOBILE ASPECTS AND THE SITE
Mobile Aspects is a healthcare technology company providing AI, software, and IoT solutions for hospital supply chain, endoscopy and sterile processing, and blood bank and pathology workflows. The Site is an informational and marketing website. It is not the platform on which our products operate, and it is not intended to be used to transmit, store, or process any patient data or Protected Health Information ("PHI") as defined under the U.S. Health Insurance Portability and Accountability Act ("HIPAA").
2. RELATIONSHIP TO PRODUCT AGREEMENTS
Use of Mobile Aspects products (including but not limited to iRISupply, iRIScope, Blood Bank & Pathology, and related software, hardware, and services) is governed by separate written agreements between Mobile Aspects and our customers, which may include a Master Services Agreement, Software License Agreement, Business Associate Agreement ("BAA"), and applicable order forms (collectively, "Product Agreements"). In the event of any conflict between these Terms and a Product Agreement with respect to the products, the Product Agreement controls.
3. ELIGIBILITY
You must be at least 18 years old and have the legal capacity to enter a binding contract to use the Site. By using the Site, you represent and warrant that you meet these requirements. The Site is not directed to children under the age of 13.
4. HELPDESK, FORMS, AND ACCOUNT USE
Certain features of the Site, including the Helpdesk ticketing system, Contact Us, Schedule a Demo, and Careers application forms, allow you to submit information to us. When using these features, you agree to:
- provide information that is accurate, current, and complete.
- keep any login credentials confidential and notify us promptly of any unauthorized use.
- not submitting any PHI, payment card data, government-issued identifiers, or other sensitive personal information that is not strictly necessary for your inquiry; and
- be responsible for all activity that occurs through your submissions or account.
We may suspend, restrict, or terminate access to any Site feature at any time, with or without notice, for any reason permitted by law.
5. ACCEPTABLE USE
You agree NOT to:
- use the Site in violation of any applicable law, regulation, or third-party right.
- access or attempt to access non-public areas of the Site, our servers, or our technical infrastructure.
- probe, scan, test, or interfere with the security or integrity of the Site, including using bots, scrapers, crawlers, or any automated means other than published, well-behaved search engine crawlers.
- reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from any portion of the Site or our software.
- upload or transmit any virus, worm, malware, or other malicious code.
- use the Site to send unsolicited communications, advertising, or "spam”.
- impersonate any person or entity or misrepresent your affiliation.
- copy, modify, distribute, sell, or lease any part of the Site or its content without our prior written consent; or
- frame, mirror, or scrape the Site or its content.
6. INTELLECTUAL PROPERTY
All content on the Site, including text, graphics, logos, icons, images, audio, video, software, source code, page layouts, and the selection and arrangement thereof (collectively, "Site Content"), and the names "Mobile Aspects," "iRISupply," "iRIScope," "Blood Bank & Pathology," and related product and service names, logos, and slogans, are the property of Mobile Aspects or its licensors and are protected by U.S. and international copyright, trademark, trade dress, patent, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site Content for your personal, non-commercial informational purposes or for your internal business evaluation of our products and services. All other rights are reserved.
7. USER SUBMISSIONS AND FEEDBACK
If you submit information, materials, ideas, suggestions, comments, or feedback to us through the Site (including through forms, the Helpdesk, the blog, live chat, or careers applications) (collectively, "Submissions"), you grant Mobile Aspects a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and otherwise exploit the Submissions for any lawful business purpose, including improving our products and services. You represent and warrant that you own or have the necessary rights to grant this license and that your Submissions do not contain PHI, do not infringe third-party rights, and do not violate any law.
8. THIRD-PARTY LINKS, SERVICES, AND CONTENT
The Site may contain links to third-party websites, applications, or services (for example, social media platforms, customer websites, or third-party hosting providers such as Odoo S.A., which hosts the Site). We do not control and are not responsible for the content, policies, or practices of any third party. Your use of third-party sites and services is at your own risk and subject to those parties' terms and privacy policies.
9. NO MEDICAL, CLINICAL, OR PROFESSIONAL ADVICE
The Site and Site Content are provided for general informational purposes only and do not constitute medical, clinical, legal, regulatory, compliance, or other professional advice. Nothing on the Site is intended to be a substitute for the professional judgment of a qualified healthcare provider, attorney, or other professional. Do not rely on the Site as the sole basis for any clinical, operational, or business decision.
10. DISCLAIMERS
THE SITE AND SITE CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOBILE ASPECTS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not guarantee that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any defects will be corrected. You are solely responsible for any damage to your devices, systems, or data resulting from your use of the Site.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MOBILE ASPECTS, ITS AFFILIATES, OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100.00).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.
12. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Mobile Aspects, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Site; (b) your Submissions; (c) your violation of these Terms; or (d) your violation of any law or third-party right.
13. EXPORT CONTROLS AND SANCTIONS
You may not access or use the Site if you are in, ordinarily resident in, or organized under the laws of any country or region subject to comprehensive U.S. trade sanctions, or if you are listed on any U.S. government list of restricted parties. You agree to comply with all applicable export control and sanctions laws.
14. TERMINATION
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason. Upon termination, all provisions of these Terms that by their nature should survive will survive, including intellectual property, disclaimers, limitations of liability, indemnification, and dispute-resolution provisions.
15. GOVERNING LAW AND JURISDICTION
These Terms and any dispute arising out of or related to these Terms or the Site are governed by the laws of the Commonwealth of Pennsylvania, U.S.A., without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You and Mobile Aspects agree that the state and federal courts located in Allegheny County, Pennsylvania have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Site, and you consent to personal jurisdiction and venue in those courts.
16. CHANGES TO THESE TERMS
We may update these Terms from time to time. The "Last Updated" date at the top reflects the most recent changes. Material changes will be highlighted on the Site. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms.
17. MISCELLANEOUS
These Terms, together with the Privacy Policy and any Product Agreements (where applicable), constitute the entire agreement between you and Mobile Aspects regarding your use of the Site and supersede all prior agreements on that subject. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them freely. Headings are for convenience only.
